Terms of Service

1. Acceptance of Terms

By creating an account or using the Rescue Workflow platform (the "Service"), you ("Organization" or "User") agree to be bound by these Terms of Service ("Terms") on behalf of yourself and the organization you represent. If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and Rescue Workflow ("we," "us," or "our"). We reserve the right to modify these Terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

2. Description of Service

Rescue Workflow is a cloud-based Software-as-a-Service (SaaS) platform designed for animal rescue organizations. The Service includes animal intake and management tools, adoption workflows, volunteer management, digital contracts, donation processing, and related features as described on our website.

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into contracts on behalf of your organization to use this Service. By registering, you represent and warrant that you meet these requirements.

4. Accounts and Registration

  1. Accurate Information. You agree to provide accurate, complete, and current information during registration and to keep it updated.
  2. Account Security. You are responsible for safeguarding your password and all activity that occurs under your account. Notify us immediately at support@rescueworkflow.com of any unauthorized use.
  3. One Organization per Account. Each account corresponds to a single rescue organization. Creating duplicate accounts to circumvent plan limits is prohibited.

5. Subscription Plans and Billing

  1. Trial Period. New organizations receive a 30-day free trial with no credit card required. Trial access is limited by feature availability as described on our pricing page.
  2. Paid Plans. After the trial, continued access requires a paid subscription (Starter or Professional). Billing is monthly in advance. Prices are as listed at the time of subscription and may change with 30 days' notice.
  3. Payment Processing. Subscription payments are processed by Stripe, Inc. on our behalf. By subscribing, you authorize recurring charges to your payment method.
  4. Cancellation. You may cancel at any time via the Billing Portal in your dashboard. Cancellation takes effect at the end of the current billing period. No partial-month refunds are issued.
  5. Suspension. Accounts with failed payments will be suspended after reasonable notice. Access is restored upon payment of outstanding balances.

6. Payment Processing — Stripe Connect

Rescue Workflow enables organizations to collect donations and adoption fees online through Stripe Connect Express accounts. By activating payment collection, you additionally agree to the following:

  1. Platform Fee. Rescue Workflow charges a 1.5% platform fee on each transaction processed through the Service. This fee is automatically deducted before funds are transferred to your Stripe Connect account. The platform fee is non-refundable.
  2. Stripe Connected Account Agreement. Your Stripe Express account is subject to the Stripe Connected Account Agreement, including Stripe's terms of service, privacy policy, and acceptable use policy. We are not a party to disputes between you and Stripe.
  3. Payout Schedule. Fund payouts to your bank account are governed by Stripe's payout schedule (typically 2 business days after a charge). Rescue Workflow has no control over payout timing and is not liable for payout delays.
  4. Tax Reporting. You are solely responsible for accurately reporting all funds received through the Service to applicable tax authorities. Rescue Workflow may provide 1099-K support data but does not provide tax advice.
  5. Chargebacks and Disputes. You are responsible for managing any payment disputes or chargebacks with Stripe. Rescue Workflow is not liable for chargeback losses.
  6. Compliance. You agree to use payment processing solely for lawful purposes related to animal rescue operations (adoption fees, donations, foster stipends). Use for unrelated commercial activities is prohibited.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
  • Upload or transmit any malware, viruses, or harmful code
  • Attempt to gain unauthorized access to any portion of the Service or related systems
  • Collect or harvest personal data of other users without their consent
  • Resell, sublicense, or otherwise commercialize your access to the Service
  • Misrepresent your organization or its nonprofit status
  • Use automated scripts (bots) to access or interact with the Service except through our documented API

8. Data and Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the practices described therein.

Your Data. You retain ownership of all data you upload to the Service ("Your Data"). You grant Rescue Workflow a limited license to store, process, and display Your Data solely for the purpose of providing the Service to you.

Data Export. You may export your organization's data at any time through the data export feature in your dashboard.

Data Retention on Cancellation. After account cancellation, we retain your data for 90 days during which you may request an export. After 90 days, your data may be permanently deleted.

9. Intellectual Property

The Service, including its software, design, trademarks, and content (excluding Your Data), is owned by Rescue Workflow and protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service or software without our prior written consent.

10. Third-Party Services

The Service integrates with third-party providers including Stripe (payments), Resend (email), Supabase (data storage), and Vercel (hosting). Your use of these integrations is subject to the respective providers' terms and privacy policies. Rescue Workflow is not responsible for the acts or omissions of third-party providers.

11. Disclaimers

The Service is provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

Rescue Workflow does not provide legal, tax, or veterinary advice. Any templates, contracts, or documents provided through the Service are for convenience only and should be reviewed by qualified professionals before use.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Rescue Workflow and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of the Service.

In no event shall Rescue Workflow's aggregate liability to you exceed the greater of (a) the total subscription fees you paid during the three months immediately preceding the claim, or (b) one hundred dollars ($100).

13. Indemnification

You agree to indemnify and hold harmless Rescue Workflow, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of a third party.

14. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Arizona, United States, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in Maricopa County, Arizona.

Informal Resolution. Before filing any claim, you agree to first contact us at legal@rescueworkflow.com and attempt to resolve the dispute informally for at least 30 days.

15. Termination

We may suspend or terminate your account at our discretion if you violate these Terms, fail to pay, or for any other reason with reasonable notice. Upon termination, your right to use the Service ceases immediately. Sections 6, 8–14 of these Terms survive termination.

16. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or an in-app notice at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

17. Digital Millennium Copyright Act (DMCA)

Rescue Workflow respects intellectual property rights and complies with the Digital Millennium Copyright Act (17 U.S.C. § 512). We have registered a DMCA agent with the U.S. Copyright Office.

To submit a DMCA Takedown Notice, your written notice must include:

  1. Your physical or electronic signature (or that of an authorized agent of the copyright owner).
  2. Identification of the copyrighted work(s) you claim have been infringed.
  3. Identification of the material on our platform that you claim is infringing, with sufficient detail for us to locate it (e.g., URL).
  4. Your contact information: name, address, telephone number, and email address.
  5. A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law.
  6. A statement under penalty of perjury that the information in the notice is accurate and that you are the copyright owner or authorized to act on their behalf.

Counter-Notification: If you believe your content was removed in error, you may submit a counter-notification to the same address including your contact information, identification of the removed material, a statement under penalty of perjury that removal was a mistake, and your consent to jurisdiction in Maricopa County, Arizona.

Repeat infringers will have their accounts terminated in appropriate circumstances.
